While dealmakers continue to navigate a dynamic economic environment, M&A activity remains supported by ample private equity capital, improving financing conditions and continued demand for growth and scale. Strategic acquirers remain focused on expanding capabilities and market share, while sponsors continue to seek high-quality assets with strong fundamentals. Although transaction timelines have lengthened in some sectors, buyers remain active, creating opportunities for business owners considering acquisitions, capital raises or liquidity events.

M&A Market Snapshot

M&A activity regained momentum in 2026 following a slower period in 2025. Improving financing conditions, significant private equity dry powder and continued strategic demand have supported a more active deal environment. While buyers remain selective, quality businesses continue to attract strong interest, reflecting increased confidence across the middle market.

Capital Deployment Trends

Capital deployment accelerated significantly as buyers and investors returned to the market, increasing from $230.8 billion in Q2 2025 to $876.4 billion in Q1 2026, a nearly 280 percent increase. While activity moderated in subsequent quarters, deployment levels have remained well above recent lows, indicating continued availability of capital and sustained interest in strategic transactions.

Industrials Spotlight

The Industrials sector continues to attract interest from both strategic acquirers and private equity investors. Capital deployment increased from $26.7 billion in Q1 2024 to $224.4 billion Q2 2026, representing an 8.6x increase, as buyers pursued opportunities in manufacturing, industrial technology and infrastructure-related businesses. Capital deployment has remained resilient in its march upwards, underscoring ongoing demand for high-quality industrial assets.

Despite ongoing economic and geopolitical uncertainty, M&A activity continues to show resilience across the middle market.
